Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and MBD Media LLC, a California limited liability company (“MBD,” “we,” “us”), governing your use of themegabackdoor.com and our app at app.themegabackdoor.com (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Who can use the Service

You must be at least 18 years old and able to form a binding contract. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

2. What the Service is

The Mega Backdoor is an opportunity-intelligence tool. You submit business or side-project ideas (or pick from our library), and we generate an automated, AI-assisted Verdict (Move / Hold / Pass) and related analysis, plans, and recommendations. The Service is an informational research and decision-support tool only.

3. Not professional advice; no guarantee of results

The Service does not provide financial, investment, tax, legal, accounting, or professional business advice, and nothing in it is a recommendation to start, buy, sell, or fund any business or security. Verdicts and plans are automated estimates generated by AI, may be incomplete or wrong, and are not guarantees. We make no promise that you will make money, avoid losses, or achieve any particular result. You are solely responsible for your own decisions and for doing your own due diligence. Use of the Service is at your own risk.

4. Accounts

You're responsible for your account and for keeping access to your email (used for sign-in) secure. You're responsible for activity under your account. Tell us at help@themegabackdoor.com if you suspect unauthorized use.

5. Subscriptions, billing & cancellation

• Plans. Parts of the Service require a paid subscription. Current plans, prices, features, and any usage/credit limits are shown at checkout and may change.
• Billing. Payments are processed by Stripe. By subscribing you authorize us (through Stripe) to charge your payment method the then-current fee, plus any applicable taxes, on a recurring basis.
• Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current price, until you cancel.
• Cancel anytime. You can cancel at any time through the customer portal in your account or by emailing help@themegabackdoor.com. Cancellation stops future renewals; it takes effect at the end of the current paid period, and you keep access until then.
• 14-day guarantee.If you're a new subscriber and not satisfied, email help@themegabackdoor.com within 14 daysof your first payment for a full refund of that payment. Except for this guarantee and where required by law, payments are non-refundable and partial periods aren't prorated.
• Price changes.We may change prices; we'll give notice before a change applies to your next renewal, and your continued subscription after the change takes effect is your acceptance of the new price.

6. Free features

We may offer free or trial features (such as a limited free Verdict). We may change or remove free features, or impose limits, at any time.

7. Acceptable use

Don't: break the law; infringe others' rights; scrape, resell, or redistribute the Service or our content except as allowed; reverse-engineer or interfere with the Service; misuse the AI features to generate unlawful, harmful, or abusive content; or attempt to bypass usage limits, security, or payment. We may suspend or terminate accounts that violate these Terms.

8. Intellectual property & your content

• Ours. The Service, our signal library, scoring methodology, software, branding, and content are owned by MBD Media LLC and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes per these Terms.
• Yours.You keep ownership of the ideas and inputs you submit (“Your Content”). You grant us a license to process Your Content to operate and improve the Service (including sending it to our AI provider to generate your results).
• Outputs. Subject to these Terms and your active plan, you may use the Verdicts and plans we generate for you for your own business purposes. Outputs may be similar across users and are provided without any warranty of originality or accuracy.
• Feedback. If you send us feedback or suggestions, we may use them without obligation to you.

9. Third-party services

The Service relies on and may link to third parties (e.g., Stripe, Supabase, Anthropic, Resend, Vercel, Meta). We're not responsible for third-party services, and your use of them may be subject to their own terms.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if needed to protect the Service or comply with the law. Sections that by their nature should survive (e.g., 3, 8, 11–14) survive termination.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, or results. We don't warrant the Service will be uninterrupted, error-free, or that any verdict will be accurate.

12. Limitation of liability

To the fullest extent permitted by law, MBD Media LLC and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising from your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 3 months before the claim, or (b) USD $50. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless MBD Media LLC and its operators from claims and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or the law.

14. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in California, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes & contact

We may update these Terms; material changes will be reflected in the “last updated” date and, where appropriate, by notice in the Service.
